Legal Contract

You must read these terms carefully and thoroughly before using the site and/or our services. his Terms of Use Agreement (“Agreement”) contains important provisions regarding the use of https://thrifle.com/ (the ‘Website”) and all other services, including the brokerage services to sell assets related to a website or other online business through Thrifle (the “Services”). You should review this Agreement carefully before deciding whether to use Thrifle’s Services, including but not limited to listing assets or purchasing assets through the Services. If you do not agree to the terms contained within this Agreement, you should not use Thrifle Services or Website.

Requirement to Register an Account with Thrifle.

In order to use Thrifle’s Services, you are required to register an account with Thrifle and consent to this Agreement. Users are permitted to use their account only and are expressly prohibited from providing third parties with access to a User’s account. You agree that in registering an account with Thrifle, you will provide Thrifle with accurate, complete, relevant, and current information. Users are solely responsible for maintaining the security and confidentiality of their usernames and passwords. In the event a User account is accessed without a User’s consent, Users are required to immediately provide Thrifle with written notice.

By registering an account with Thrifle, you warrant and agree that you are either above the age of majority in your nation, state, province, territory, or city, or the age of eighteen (13), whichever is greater. You warrant that you are of sound mind, have the capacity to contract, and agree to the terms and conditions contained within this Agreement.

Buyer and Seller represent they are not subject to any voluntary or involuntary petition or proceeding under any bankruptcy, reorganization, insolvency, or similar law relating to the relief of creditors or debtors.

Users Rules and Conducts

Avoid posting regular sales post
Shortened links like bitly shouldn’t be used as they can be used by spammers
Crowdfunding sites must be avoided
Deals from new users must be moderated
Prior to posting, a check is this deal has already been posted or not
Staff accounts have different color
People with 100+ reputation points can be in bold
Trading is allowed in a separate thread
If you witness a repost you can report it with a link to original post
Creating a new thread for an available deal is discouraged, reply to that will do the same
Include prices after rebate
Every posting has a section, if it fits none then post in the lounge
Self-promotion & referrals are banned
Do not post scanned or altered coupons
Personal Ebay listings are not allowed
Ebay listing are in Top rated plus store and not top rated plus store
Amazon 3rd party merchants must have 1K+ lifetime seller rating
Exceptions can be made for well known large enough merchants
AliExpress Merchants must be vetted by the deal editors
Facebook personal listings are not allowed
FB deals from major corporate or manufacturers will be allowed
If there is any first page merchant from the past, posting from FB Deals, the will be allowed
Some sellers, brands and manufacturers are banned and will be removed upon discovery
Any deals related to adult toys and content will be removed and SD follows a strict PG-13 rating
Jokes and political threads in the hot deals forum are banned, though there is a lounge forum for chit chat
If you feel anything is against the guidelines, use mod alert tool instead of taking action
Usual Ethical and Behavioural Guidelines
Illegal activities are not tolerated  If the deal has manufactured votes, deal editor can remove it from front page
Repeat abuse could result in suspension of account and voting
Reputation points are earned as a measure of good deal posts
Begging for points is prohibited
If any thread is deleted, you can question the moderator about it
Thread crapping without reasoning is not allowed
For customer assistance you can pm a merchant, and make sure the person has a certified SD badge
All front page deals are vetted by moderators and are safe to us

Prohibited uses

In addition to other terms as outlined in the Agreement, you are prohibited from using our Services or Content:

For any unlawful purpose.
To solicit others to perform or participate in any unlawful acts.
To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
To infringe upon or violate our intellectual property rights or the intellectual property rights of others
To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability
To submit false or misleading information.
To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of our Services, third-party products, services, or the Internet.
To spam, phish, pharm, pretext, spider, crawl, or scrape.
For any obscene or immoral purpose; or
To interfere with or circumvent the security features of our Services, third-party products, and services, or the Internet.

We reserve the right to terminate your use of our Services for violating any of the prohibited uses.

Membership

Working with Thrifle

Listing a business for sale with Thrifle starts with submitting business related information to Thrifle, which will either approve or deny the business for posting on the Website and participation in the Services in its sole discretion. For any reason whatsoever, Thrifle has the right to reject any and all submissions.

The seller's identity is kept secret. After the screening process, Thrifle will get the seller's confidential information as detailed below.

"Seller's Confidential Information" refers to non-public, proprietary information disclosed by the seller to Thrifle in connection with an applicable business being submitted to Thrifle, including but not limited to: (i) information expressly marked or disclosed as confidential; (ii) all forms and types of financial, traffic, user, and/or other business information; (iii) information expressly marked or any and all details relating to the assets of an applicable business listing, including the relevant URL; (iv) the Seller’s profits and losses or balance statement; and (v) other information related to the assets or business.

To the extent permitted by law and in accordance with this Agreement, Thrifle agrees to keep all Seller Confidential Information strictly confidential and not to disclose it except as follows: Thrifle may disclose Seller Confidential Information to its employees and agents, including but not limited to attorneys, accountants, officers, and directors ("Representatives"). As long as Thrifle's counsel advises it to do so, it is free to reveal Seller Confidential Information without fear of liability under this agreement despite the lack of a protective order or waiver.

It is understood and agreed that Thrifle would rely on the facts and representations given by users when submitting a business. This includes, but is not limited to, any relationship between the user and distributors, affiliates, dropshippers, or view-only access to relevant information or any other material information about the business as decided solely by Thrifle. This data will be accurate, up-to-date, and comprehensive. Thrifle may ask for Seller Agreement Forms and other inquiries of this nature in the future. Thrifle retains the right to do so. The user undertakes to answer all of Thrifle's inquiries truthfully and completely. To make sure that the vetting process is fair, Thrifle may share with third-party service providers any information that a user sends in.

Text, comments, images, videos, and audio files might all be used by users to contribute to the company's assets and operations. Other types of user-generated content could be uploaded or transmitted in conjunction with the company's business or assets (collectively, "User-Generated Content"). Unless otherwise stated, all rights in and to User-Generated Content are owned by the users, unless otherwise stated. For the purposes of providing the Services, you agree to grant Thrifle a nonexclusive, nonrevocable, royalty-free, worldwide and permanent licence to utilise any User-Generated Content that you supply to Thrifle. The provision of services to third parties and the archiving or backup of the website are only a few examples of these objectives. As part of this review, users agree to work with Thrifle and react to inquiries from potential buyers or Thrifle within 48 hours and to always conduct themselves with professionalism and courtesy. It's also agreed upon by users that they will make themselves available to sales representatives by revealing information about their availability for sales calls and by showing up for those calls. Third-party communications regarding a user's assets or business must be directed to Thrifle

Some Businesses involve special circumstances, including but not limited to the following:

If your Business uses paid traffic, the entire ad account must be transferred to the Buyer; and
If an Amazon asset is included in the sale, all Amazon accounts linked to the Seller’s email address must be included in the sale.
Unless you expressly disclose specific facts indicating otherwise in writing to Thrifle in connection with the submission of your Business, by submitting your Business to Thrifle, you represent and warrant that:
You have unique and clear title to the Assets and any related assets to be sold through Thrifle, including all intellectual property rights; you have not encumbered the Assets to be sold with a mortgage, pledge, lien, or encumbrance, except for taxes that will be prorated as of the Sale Date; and you and the Assets are not subject to any voluntary or involuntary petition or proceeding under any bankruptcy, reorganisation, insolvency, or similar law.

Intellectual property rights

“Intellectual Property Rights” means all present and future rights conferred by statute, common law, or equity in or about any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by the Operator or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with the Operator. All trademarks, service marks, graphics, and logos used in connection with our Services are trademarks or registered trademarks of the Operator or its licensors. Other trademarks, service marks, graphics, and logos used in connection with our Services may be the trademarks of other third parties. Limitaion of liability

To the maximum extent permitted by applicable law, in no event shall Thrifle, or its subsidiaries, affiliates, successors, assigns, partners, and respective officers, directors, employees, contractors, agents, or other legal representatives, be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill use, or data or other intangible losses, that result from the use of, or inability to use, services or any other aspect of these terms. Under no circumstances will Thrifle be responsible for any loss resulting from hacking, tampering, or other unauthorized access or use of services or your account or the information contained therein.

The parties acknowledge and agree that the primary purpose of this section is to divide the risks arising from these terms between them and to limit their potential liability, given the fees charged under these terms, which would have been significantly higher if Thrifle had assumed any additional liability not set forth herein. The parties based their decision to engage into these agreements on these limits. Nothing in these terms is intended to limit or exclude Thrifle' liability, and nothing in these terms should be regarded as doing so for (i) willful misconduct of Thrifle; or (ii) any liability which cannot be limited or excluded by applicable law.

Severability

All rights and restrictions in this Agreement may be exercised and are only applicable and binding to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary to keep this Agreement legal, valid, and enforceable. If a court of competent jurisdiction finds any provision or portion of any provision of this Agreement to be illegal, invalid, or unenforceable, the parties intend for the remaining provisions or portions thereof to constitute their agreement for the subject matter hereof, and all such remaining provisions or portions thereof to remain in full force and effect.

Indemnification

You agree to, upon request, defend, indemnify and hold harmless Thrifle its affiliates, and their respective directors, officers, employees, shareholders, partners, or agents from any liabilities, claims, demands, losses, and expenses, including attorneys’ fees, which arise directly or indirectly from or relate to: (a)Any breach of these Terms of Use for which you are responsible; (b) Any User Materials submitted by you or through your Account; (c)Your use of this Website or transmission of any materials or other content through this Website

We reserve the right to assume the entire defense and control of any issue otherwise subject to your indemnification, at our own expense, and you agree not to settle any such matter without our prior written agreement. Any termination or expiration of these Terms of Use will not affect this indemnification clause.

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of United States without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of United States. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in United States, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement.

Changes and amendments

We reserve the right to change this Agreement or any of its terms relating to our Services at any time. When we do, we'llupdate the date at the bottom of this page and send out an email notification. At our discretion, we may also notify you in other ways, such as through the contact information you have provided.

Unless otherwise specified, an updated version of this Agreement will become effective immediately after it is posted. Continued use of our Services after the effective date of the revised Agreement (or such other act specified at that time) constitutes your acceptance of those changes.
